Terms of Service

Last updated: 8 October 2026

1. Introduction

Welcome to Clean Code Culture. These Terms of Service ("Terms") govern your use of our website located at www.cleancodeculture.com (the "Website") and the services offered by Clean Code Culture SRL ("we," "us," or "our").

By accessing or using our Website and services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Website or use our services.

2. Services

Clean Code Culture provides software development, consulting, and related technology services (collectively, the "Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property

4.1 Our Intellectual Property

The Website and its original content, features, and functionality are owned by Clean Code Culture and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Website and Services for your personal or business purposes.

4.3 Client Materials

You retain all rights to any content, data, or materials you provide to us in connection with the Services ("Client Materials"). By providing Client Materials, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display the Client Materials solely for the purpose of providing the Services to you.

4.4 Artificial Intelligence in Delivery

Delivering the Services may involve artificial intelligence tools, including large language models operated by third-party providers. Where that would mean sending Client Materials to such a provider, we will identify the provider in the project contract and will not do so without your agreement. Whether a provider retains or trains on what it receives is governed by that provider's own terms, which we will identify on request.

We do not use Client Materials to train models of our own, and we do not license them to anyone for that purpose. Nothing in clause 4.3 grants such a right.

You confirm that you hold the rights necessary to give us the Client Materials you provide, including where they contain personal data or third-party content.

Where the Services include an AI system within the meaning of Regulation (EU) 2024/1689 (the AI Act), the project contract will state which party acts as provider and which as deployer, and which obligations each therefore carries — including transparency towards end users, human oversight, and any applicable AI literacy duty under art. 4. These Terms do not allocate those roles; the project contract does, and it prevails over this page.

5. User Conduct

You agree not to use the Website or Services to:

  • Violate any applicable laws, regulations, or third-party rights, including intellectual property and privacy rights
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Website or servers or networks connected to the Website
  • Attempt to gain unauthorized access to any portion of the Website or any other systems or networks connected to the Website
  • Use any robot, spider, or other automatic device to access the Website for any purpose without our express written permission

6. Payment Terms

Fees for the Services will be outlined in a separate agreement or statement of work. Unless otherwise specified, all fees are quoted in Euro (EUR) and are non-refundable.

You agree to provide current, complete, and accurate billing information and authorize us to charge the payment method provided for all Services. If automatic billing fails, we may issue an electronic invoice indicating that payment is due.

7. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed in connection with the Services, including but not limited to business plans, technical data, software, and financial information ("Confidential Information").

Neither party will disclose the other's Confidential Information to any third party except as necessary to perform the Services or as required by law, and each party will use the same degree of care to protect the other's Confidential Information as it uses to protect its own.

8. Limitation of Liability

In no event shall Clean Code Culture, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services or unauthorized access, use, or alteration of your transmissions or content

Our liability is limited to the maximum extent permitted by law, and in no event will our aggregate liability exceed the amount paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the liability.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Clean Code Culture expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content or information available through the Services.

10. Indemnification

You agree to defend, indemnify, and hold harmless Clean Code Culture and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your Client Materials caused damage to a third party

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
